This agreement governs resellers and affiliates (you, the applicant) of Guide2Directories, LLC (TargetAnalyst) with respect to the sale, distribution, and marketing of service provided by Guide2Directories (TargetAnalyst live Web Traffic Analysis Service).

Tracking Sales.

Unless other arrangements are made, all subscriptions will be managed through MyAffiliateProgram. MyAffiliateProgram tracks sales primarily through cookies, a small data file placed on your visitor's hard drive that identifies you as the referring affiliate.

Your account will be credited only with sales resulting in orders where we detect the presence of your affiliate cookie in the customer's browser.

A refund of an order associated with your account will result in a debit of the associated reseller or affiliate commission from your account.

We will provide your sales statistics through MyAffiliateProgram user interface.

Support.

Unless other arrangements have been made, Guide2Directories will provide end-user support to the service we sell. We do not provide any warranties to the service and its functionality and will not be liable for any failure of the service, other than to the extent that a refund for subscription will be issued.

Marketing Limits.

TargetAnalyst live Web Traffic Analysis Service shall not be marketed on a pop-under windows, pop-up windows or by TargetAnalyst pages 'framed' at your site.

Promotional material sent out via email shall not be sent to those who have not explicitly agreed to receive that email (no spam or unsolicited commercial email - UCE)

Claims about the performance, functionality, or usability of TargetAnalyst live Web Traffic Analysis Service shall be factual. You can easily get to know the workings and details of TargetAnalyst by signing up for and testing the service on your own web site.

Severance.

We reserve the right to terminate participation in our affiliate and reseller programs at any time and without notice. If you have any questions, please feel free to contact us.

Indemnity.

You agree to indemnify Guide2Directories against consequential and inconsequential damages caused by the service, and against any liability for use or misuse of the service. This indemnity shall extend to both you and to customers that subscribe to TargetAnalyst Live Web Traffic Analysis Service through your promotional activities.

Governance.

The agreement shall be governed under the laws of the State of California, United States. Any disputes shall be settled by Arbitration as defined under the laws of the State of California.
